Christopher C. Roberts uses his extensive legal knowledge in an array of practice areas to help clients navigate the daily operations and growth of their companies.  With more than 35 years of experience as a business attorney, he has "seen it all", and uses that wealth of experience to assist clients orchestrate new endeavors, stay compliant on policies and procedures, and mitigate concerns when they arise.

Chris directs his legal focus on mergers and acquisitions, securities, employment, business planning, tax, ESOPs, intellectual property, government contracts, international matters and general corporate and commercial matters.  This familiarity with a wide breath of law benefits his clients greatly, and often enables him to anticipate a potential issue before it occurs.

His long-time membership in the Securities Law Committee of the Maryland State Bar Association (MSBA) Business Law Section ensures that Chris is well-informed with regard to changes in securities law.  Securities transactions in which he has been involved include a wide variety of private placements and venture capital transactions (including under Regulation S and Rules 506 and 504 of Regulation D), as well as IPOs and other public offerings.  He is familiar with the changes resulting from the JOBS Act, including the general solicitation permitted by Rule 506(c) for offerings sold to accredited investors, crowdfunding, and Regulation A+.  He has also handled Rule 144, Rule 701 and Section 4(1½) transactions, finders issues, and provided opinions of counsel regarding the removal of restrictive legends. 

The numerous M&A transactions Chris has completed include the representation of a foreign public multi-national corporation with respect to its $380 million purchase of a U.S. national distribution business, the representation of a private chain of retail stores as to their sale to a public company for $10 million, the representation of a private consulting and government contracts business with respect to its $23 million sale to a public company, and the representation of a public company engaged in environmental monitoring and control activities for governmental and private clients in its sale to a larger public company for $39 million.  Smaller M&A transactions have involved a variety of businesses, including government contractors, a limousine company, and retail stores. 

Other business projects have included resolving shareholder disputes and the preparation of shareholder buy-sell agreements, operating agreements for limited liability companies, employment and consulting agreements, non-competition and confidentiality agreements, and stock bonus, option, SAR and other equity compensation plans.  In addition to representing foreign clients in various transactions, including forming, operating, buying and selling entities in the U.S., he has also been involved in internal investigations relating to foreign operations of U.S. entities, including issues relating to the Foreign Corrupt Practice Act.  Chris has also handled a foreign company’s stock sales to its US employees.

Chris has represented companies as well as selling shareholders in ESOP transactions.  He has been an active member of The ESOP Association for nearly 25 years, which allows him to remain current on the countless nuances associated with these complex transactions. 

Chris worked part-time, and after graduating from law school full-time, as a law clerk for Hon. Judge J. Dudley Digges of the Court of Appeals of Maryland from 1974-1976.  After his clerkship, he took the opportunity to travel solo around the world for approximately 18 months, visiting about 25 countries mostly in Asia, the Indian subcontinent and the Mideast.  Shortly after returning to the U.S., Chris began practicing law at Shulman Rogers.
